The author presents a thermo-rheological model of non-Newtonian fluid. The free energy is assumed to be of an isotropic and differentiable function of a set of indepedent variables some of which are introduced for the interference of microstructure and macrostructure. For the thermal fluid, the author considers the objective time derivative, Fourier law and rate of energy dissipation. A generalized Maxwell fluid is obtained from the thermal non-Newtonian fluid by using the relation \({\mathbb D}=\check{\varepsilon}= \lambda_{-1}\check{\mathbb T}^p+ \kappa^{-1} {\mathbb T}^T\).
